1. Acceptance of these terms

These Terms and Conditions apply to www.editshare.com and any other websites maintained by EditShare. By using the site, you agree to our terms of use. If you do not agree to these terms of use, do not use the site. At EditShare's sole discretion, these terms may be changed from time to time.

EditShare grants you a non-exclusive, non-transferable, limited right to access and reasonably use the site and its content, provided you comply with these terms. EditShare reserves the right to add, change, or remove content without notice or liability.

2. Ownership

The site and all of its content belong exclusively to EditShare and are protected by copyright. Unauthorized use or distribution may violate copyright, trademark, privacy, publicity, and criminal statutes.

Any software on the site is the sole property of EditShare. Its terms of use appear in the included End User License Agreement (EULA).

3. User contributions

Materials submitted via email or posting are treated as non-confidential unless covered by an existing Non-Disclosure Agreement. By posting, you represent that you own the materials.

You retain ownership of the materials you post, but you grant to EditShare a perpetual, worldwide, royalty-free, irrevocable, non-exclusive license (with rights to sublicense) to use and commercialize any ideas, concepts, know-how or techniques contained in such materials.

4. User conduct

You may not post materials that:

  1. Interfere with the use of the site by others.
  2. Constitute spam, abuse, illegal content, obscenity, or threats.
  3. Encourage law-breaking or breach of agreements.
  4. Violate copyright or property rights.
  5. Interfere with the privacy of any user.
  6. Contain viruses or other harmful components.
  7. Include advertising or commercial materials, except in designated areas.
  8. Contain false or misleading statements.

EditShare monitors forums but assumes no liability for content accuracy, defamation, libel, obscenity, or profanity. EditShare may edit or remove violations and cooperates fully with law enforcement.

If an area of the site allows “private” sharing of User Materials, EditShare does not guarantee the security or privacy of such User Materials.

5. Links

The site may contain links to external websites. EditShare provides these for convenience but is not responsible for linked content. Links do not constitute approval or endorsement.

EditShare disclaims all warranties, express or implied, as to the accuracy, legality, reliability, or validity of any content on any other website.

6. Access and interference

You agree not to interfere with the operation of the site or bypass any measures used to restrict access.

7. Disclaimer of warranty

The site is provided free of charge, and accordingly is provided “AS IS” and with all faults. Use the site at your own risk.

EditShare makes no representations or warranties regarding the site. To the fullest extent permitted by law, EditShare disclaims all warranties, express or implied, and all implied terms and conditions, including but not limited to those related to merchantability, satisfactory quality, fitness for a particular purpose, title or non-infringement.

8. Exclusion of damages and disclaimer of liability

Except for death or personal injury arising from negligence, fraud, or liabilities that cannot legally be excluded, EditShare and its suppliers will not be liable for any damages, including lost profits, data loss, business damage, damages that are not reasonably foreseeable, or any other loss or damages including consequential, special, indirect or incidental damages.

This specifically applies to:

  1. The addition, modification, or removal of content.
  2. Third-party content and external links.
  3. The security of information on the site, even in designated private forums.

The limitation applies even if EditShare knew damages were possible. Some jurisdictions prohibit the exclusion of incidental or consequential damages, which may limit the applicability of this provision.

9. Indemnification

You could be held liable if your use of the site is contrary to these terms, the Privacy Policy, or the other terms referenced on this page. You agree to indemnify, defend, and hold EditShare harmless from and against any claims or liabilities arising out of your use of the site contrary to these terms.

10. General

For users in the United States, the laws of the Commonwealth of Massachusetts govern interpretation regardless of conflict-of-law principles. Other claims follow the laws of the user's state. For international users, applicable local laws govern. These terms do not alter statutory rights that cannot be waived.

These terms, the Privacy Policy, and any referenced terms constitute the entire agreement regarding the site. If any provision is found legally invalid, the remaining terms survive. A court may limit, delete, or replace an invalid provision with a valid alternative that reflects the original intent.
